1. About MATCHA

MATCHA is operated by Velocity Africa Limited (RC: 9390306), a company incorporated under the laws of the Federal Republic of Nigeria, with its registered office at 7b Professor Jubril Aminu Street, Parkview Estate, Ikoyi, Lagos, Nigeria.

MATCHA connects tennis and padel players — enabling them to find opponents at the right skill level, schedule matches, verify results, and participate in club communities across Lagos and Nigeria.

2. Eligibility

To use MATCHA, you must:

• Be at least 16 years of age.
• Provide accurate, truthful information when creating your account.
• Have the legal capacity to agree to these Terms.
• Not be prohibited from using the service under applicable Nigerian law.

By registering, you represent and warrant that you meet all of the above requirements.

3. Your Account

3.1 Registration

You may register using a phone number or Google account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.2 Account accuracy

You agree to keep your profile information — including your skill level declaration — accurate and up to date. Deliberately misrepresenting your skill level to manipulate match outcomes or MATCHA Ratings is a violation of these Terms and may result in account suspension.

3.3 One account per person

Each person may hold one MATCHA account. Creating multiple accounts to evade sanctions, manipulate ratings, or circumvent community rules is prohibited.

3.4 Account security

Notify us immediately at info@velocityafrica.org if you suspect your account has been compromised. We are not liable for any loss arising from unauthorised use of your account.

4. Acceptable Use

You agree to use MATCHA only for lawful purposes. You must not:

• Create matches you have no intention of attending (ghost booking).
• Submit false or disputed match results deliberately.
• Harass, intimidate, abuse, or discriminate against other users.
• Post offensive, defamatory, or inappropriate content in community feeds or chat.
• Use MATCHA to solicit, advertise, or promote commercial services without our written consent.
• Attempt to reverse-engineer, hack, or interfere with the MATCHA platform or its underlying systems.
• Use automated bots, scrapers, or scripts to access MATCHA.
• Create fake accounts or impersonate another person.
• Manipulate, game, or artificially influence your MATCHA Rating or COURT Credit score.

5. Matches, Results, and Conduct

5.1 Match commitments

When you accept a match, you commit to attending. Repeated no-shows without notice will negatively affect your COURT Credit score and may result in account restrictions.

5.2 Result submission

Match results must be submitted honestly. Both players are required to submit results independently. Where submissions conflict, the match will be flagged for review. Deliberately submitting incorrect results is a violation of these Terms.

5.3 On-court conduct

MATCHA promotes fair play and sportsmanship. Poor on-court behaviour reported through the peer review system will be reflected in your COURT Credit score. Extreme misconduct may result in account suspension.

5.4 No-show reporting

If your opponent fails to appear, you may report a no-show within the app. No-shows that are uncontested within 12 hours will be recorded against the absent player. False no-show reports are a violation of these Terms.

6. MATCHA Rating and COURT Credit

The MATCHA Rating (skill rating) and COURT Credit (reliability score) are proprietary systems developed by Velocity Africa Limited. By using MATCHA, you agree that:

• Ratings are calculated algorithmically based on your match results and behaviour — not self-declared.
• Ratings are informational only and do not constitute a professional assessment of your tennis ability.
• We reserve the right to adjust the rating algorithm at any time.
• You may not use your MATCHA Rating in commercial contexts (sponsorship, employment, etc.) without our written consent.
• We are not liable for any decisions made by third parties based on your MATCHA Rating.

7. Communities

7.1 Community membership

Communities on MATCHA represent clubs, groups, and institutions. Membership is subject to the rules of the community and these Terms. Community administrators may remove members who violate community rules.

7.2 Community content

You are responsible for any content you post in community feeds or chat. Content must not be offensive, discriminatory, defamatory, or illegal. We reserve the right to remove content and suspend accounts that violate these standards without notice.

8. Intellectual Property

All intellectual property in the MATCHA platform — including the app design, MATCHA name and logo, rating system, and all associated technology — is owned by or licensed to Velocity Africa Limited. You may not copy, reproduce, distribute, or create derivative works from any part of MATCHA without our prior written consent.

By submitting content to MATCHA (profile photos, posts, match photos), you grant Velocity Africa Limited a non-exclusive, royalty-free licence to use, display, and distribute that content within the MATCHA platform for the purpose of providing the service.

9. Suspension and Termination

9.1 By us

We may suspend or permanently terminate your account if you violate these Terms, engage in fraudulent activity, or behave in a way that harms other users or the MATCHA community. We will endeavour to notify you, but are not obligated to do so in cases of serious breach.

9.2 By you

You may delete your MATCHA account at any time via Settings → Delete Account. Upon deletion, your personal data will be removed in accordance with our Privacy Policy. Match history may be retained in anonymised form for platform integrity purposes.

9.3 Effect of termination

Termination of your account does not affect any rights or obligations that arose before termination. Clauses 8, 10, 11, and 12 survive termination of these Terms.

10. Disclaimers

MATCHA is a platform that facilitates connections between players. We are not responsible for the conduct of players before, during, or after a match. By participating in matches arranged through MATCHA, you acknowledge that you do so at your own risk and take full responsibility for your own safety on and off the court.

11. Limitation of Liability

To the maximum extent permitted by Nigerian law, Velocity Africa Limited shall not be liable for:

• Any indirect, incidental, special, or consequential loss arising from your use of MATCHA.
• Loss of data, revenue, or business opportunity.
• Personal injury or property damage arising from matches arranged through MATCHA.
• Any actions or omissions of other users.
• Interruptions, downtime, or errors in the service.

Our total liability to you, if any, shall not exceed the amount you paid to MATCHA in the 12 months prior to the claim arising (or zero if you have not paid for any services).

12. Indemnity

You agree to indemnify and hold harmless Velocity Africa Limited, its directors, employees, and agents from and against any claims, liabilities, damages, and costs (including legal fees) arising from your use of MATCHA, your violation of these Terms, or your infringement of any third-party rights.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria, including the Companies and Allied Matters Act (CAMA) 2020.

Any dispute shall first be subject to good-faith negotiation. If unresolved within 14 days, the dispute shall be referred to binding arbitration in Lagos, conducted in English, under the Arbitration and Conciliation Act (as amended).

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via push notification or in-app banner at least 14 days before they take effect. Continued use of MATCHA after that date constitutes acceptance of the revised Terms. If you do not accept the revised Terms, you must stop using MATCHA and may delete your account.
